Terms of Service for Buyers and Sellers
1. Platform Usage
* Platform Exclusivity: All discussions, negotiations, and transactions related to the buying and selling of businesses must be conducted exclusively through our platform. No communication or transactions outside of the platform are permitted.
* Platform Fees: A 2% commission will be charged on the total transaction amount. This fee will be split as follows:
* 60% will be borne by the buyer.
* 40% will be borne by the seller.
2. Buyer Obligations
* Payment Processing: All payments for business purchases must be made through our platform. We will facilitate the secure transfer of funds between the buyer and the seller.
* Site Visits: All site visits to businesses for the purpose of inspection or due diligence must be conducted in the presence of one of our designated agents.
* Compliance with Laws and Regulations: Buyers are responsible for ensuring that their purchase and subsequent operation of the business comply with all applicable laws and regulations.
3. Seller Obligations
* Accurate Information: Sellers must provide accurate and complete information about their businesses, including financial records, legal documents, and operational details.
* Platform Exclusivity: All discussions, negotiations, and transactions related to the sale of their business must be conducted exclusively through our platform. No communication or transactions outside of the platform are permitted.
4. Buyer Benefits
* Legal Assistance: Buyers will receive free legal assistance to facilitate the smooth transfer of ownership and address any legal issues related to the transaction.
* Accounting and Tax Services: Buyers will receive one month of free accounting and tax services to help them establish their business operations.
* Access to Credit Facilities: Buyers will have access to our exclusive credit facilities to finance their business purchases.
5. Dispute Resolution
Any disputes arising from transactions conducted on our platform will be resolved through our internal dispute resolution process or through arbitration, as determined by us.
6. Modification of Terms
We reserve the right to modify these Terms of Service at any time. Any changes will be effective immediately upon posting on our platform.
7. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Cameroon.
By using our platform, both buyers and sellers agree to be bound by these Terms of Service.
